Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

As previously disclosed, Brendan L. Hoffman’s employment as President and Chief Executive Officer of The Bon-Ton Stores, Inc. (the “Company”) will cease effective as of today, August 25, 2014; however, Mr. Hoffman will continue to work with the Company through a transition period.

The Company anticipates that Mr. Hoffman will continue as a director of the Company through the meeting of the Board of Directors currently scheduled for September 9, 2014, at which time Mr. Hoffman will resign as a director of the Company.
