Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 20, 2014, Polonia Bancorp, Inc. (the “Company”), the holding company of Polonia Bank (the “Bank”), announced that the Company’s and the Bank’s President and Chief Executive Officer, Anthony J. Szuszczewicz is retiring effective August 31, 2014. The Board of Directors appointed Paul D. Rutkowski, the Company’s Chief Financial Officer, to the position of Chief Executive Officer on an interim basis while the Board conducts a search for a permanent successor to Mr. Szuszczewicz. In addition, Director Robert J. Woltjen was voted Chairman of the Board of the Company and the Bank, replacing Mr. Szuszczewicz.
