Item 8.01- Other Events
On August 20, 2014, Townsquare Media, Inc. (the “Company”) completed the sale to the underwriters in its initial public offering of an additional 590,000 shares of Class A common stock, at the public offering price of $11.00 per share, pursuant to the underwriters’ partial exercise of the overallotment option granted to them in connection with the initial public offering. The Company will realize gross and net incremental proceeds of approximately $6.5 million and $6.0 million, respectively.
