Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On August 18, 2014, John R. Willis, a Class III independent director of Roundy’s, Inc. (the “Company”), resigned from the Company’s board of directors effective December 31, 2014. Mr. Willis’ resignation is not the result of a disagreement with the Company on any matter relating to the Company’s operations, policies or practices, or otherwise.
