NOTE 1 – BASIS OF PRESENTATION, RECENT ACCOUNTING PRONOUNCEMENTS, ORGANIZATION AND GOING CONCERN

 

Basis of presentation

 

The unaudited financial statements of Reve Technologies, Inc. as of June 30, 2014, and for the three and six months ended June 30, 2014 and 2013, have been prepared in accordance with accounting principles generally accepted in the United States for interim financial reporting. Accordingly, they do not include all of the disclosures required by accounting principles generally accepted in the United States for complete financial statements and should be read in conjunction with the audited financial statements and notes thereto for the year ended December 31, 2013, as filed with the Securities and Exchange Commission as part of the Company's Form 10-K. In the opinion of management, all adjustments (consisting only of normal recurring adjustments) considered necessary for a fair presentation of the interim financial information have been included. The Company did not record an income tax provision during the periods presented due to net taxable losses. The results of operations for any interim period are not necessarily indicative of the results of operations for the entire year. 

 

Recent Accounting Pronouncements

 

The Company reviews new accounting standards as issued.  Although some of these accounting standards issued or effective after the end of the Company’s previous fiscal year may be applicable to the Company, it has not identified any standards that it believes merit further discussion or will have a significant impact on its financial statements except as described below. 

 

On June 10, 2014, accounting principles generally accepted in the United States were amended to remove the definition of a development stage entity thereby removing the financial reporting distinction between development stage entities and other reporting entities.  In addition, the amendments eliminate the requirements for the Company to present inception-to-date information and to label the financial statements as those of a development stage entity.  The amendments are effective for the Company’s financial statements as of December 31, 2016, and interim periods therein; however, early application of each of the amendments is permitted for any reporting period.  The Company has adopted the amendments and no longer presents inception-to-date information in the statements of operations, statement of changes in stockholders' deficit and statements of cash flows.  In addition, the financial statements will no longer be labeled as those of a development stage entity.

 

Organization

 

The Company was incorporated on May 11, 2010 (Date of Inception) under the laws of the State of Nevada, as Bassline Productions, Inc.  On March 21, 2014 the Company amended its articles of incorporation and changed its name to Reve Technologies, Inc. The Company has not commenced significant operations.  Management is seeking viable business opportunities.

 

Going Concern 

 

The accompanying financial statements have been prepared assuming that the Company will continue as a going concern, which contemplates the recoverability of assets and the satisfaction of liabilities in the normal course of business. The Company has not yet generated revenues from operations. Since inception, the Company has been engaged substantially in financing activities and developing its business plan and incurring start up costs and expenses. As a result, the Company incurred accumulated net losses from Inception (May 11, 2010) through the period ended June 30, 2014 of $533,851. In addition, the Company’s development activities since inception have been financially sustained through debt and equity financing.

 

In view of these conditions, the ability of the Company to continue as a going concern is in substantial doubt and dependent upon achieving a profitable level of operations and on the ability of the Company to obtain necessary financing to fund ongoing operations. Management is planning to raise necessary additional funds for working capital through loans and additional sales of its common stock. However, there is no assurance that the Company will be successful in raising additional capital or that such additional funds will be available on acceptable terms, if at all. Should the Company be unable to raise this amount of capital its operating plans will be limited to the amount of capital that it can access. These financial statements do not give effect to any adjustments which will be necessary should the Company be unable to continue as a going concern and therefore be required to realize its assets and discharge its liabilities in other than the normal course of business and at amounts different from those reflected in the accompanying financial statements.

From time to time the Company has issued CPNs all with identical terms, including a maturity date three to six months from the date of issuance, eight percent (8%) per annum interest rate, no requirement for any payments prior to maturity, and the right to convert the outstanding principle and interest in to into fully paid and non-assessable shares of the Company's common stock at a fixed conversion price of $1.00per share. The conversion privilege provides for net share settlement only. Pursuant to ASC 470-20-25-5, the Company determined that due to the market price of the Company's common stock being greater than the conversion price contained in each CPN on the commitment date, each CPN contained a beneficial conversion feature (“BCF”) with an intrinsic value in excess of the face amount of each CPN. The resulting discount to the CPNs is recorded to interest expense and amortized over the original maturity term. The Company communicates regularly with the holder who has not expressed a desire to force collection at this time.

From November 4, 2013 through January 21, 2014, the Company borrowed amounts totaling $1,870 from an officer, director and shareholder of the Company. The loaned amounts bore interest from  0%  to 1%.  The principal amount was convertible into shares of common stock at a rate of $1 per share.  The Company recorded a debt discount related to the beneficial conversion feature of $954 which was amortized over the life of each of the three loans. During the three months ended June 30, 2014, the Company repaid the loan in total and fully amortized the remaining debt discount of $499.

 

During the three months ended June 30, 2014, the Company had interest expense – related party of $17,884 of which $3,467 is interest and $14,417 is amortization of the debt discount. During the three months ended June 30, 2013, the Company had interest expense – related party of $26,703 of which $746 is interest and $25,957 is amortization of the debt discount. During the six months ended June 30, 2014, the Company had interest expense – related party of $40,979 of which $6,270 is interest and $34,709 is amortization of the debt discount.

 

NOTE 3 – LINE OF CREDIT

 

On June 15, 2012, the Company executed a revolving credit line with a third party for up to $50,000.  The unsecured line of credit bears interest at 6% per annum with principal and interest due on June 16, 2015.  On August 30, 2013, the Company agreed to settle a total amount of principal of $3,681 and accrued interest of $429 in exchange for 4,110 shares of common stock. The shares were issued in November 2013. As of June 30, 2014, the balance due under this line of credit totaled $3,816, including $3,634 of principle and $182 of accrued interest. During the three months ended June 30, 2014 and 2013, the Company recorded $54 and $109 of interest expense. During the six months ended June 30, 2014 and 2013, the Company recorded $109 and $218 of interest expense.

 

On July 30, 2012, the Company executed a revolving credit line with a third party for up to $50,000.  The unsecured line of credit bears interest at 6% per annum with principal and interest due on August 1, 2015. On August 30, 2013, the Company agreed to settle a total amount of principal of $7,428 and accrued interest of $831 in exchange for 8,259 shares of common stock. As of June 30, 2014, the balance due under this line of credit totaled $6,596, including $6,322 of principle and $274 of accrued interest. During the three months ended June 30, 2014 and 2013, the Company recorded $82 and $206 of interest expense. During the six months ended June 30, 2014 and 2013, the Company recorded $163 and $409 of interest expense.

 

As of June 30, 2014, the Company has a total of $100,000 in revolving lines of credit with two above entities with $90,044 available to borrow and an outstanding principle balance of $9,956. 

 

NOTE 4 – STOCKHOLDERS’ EQUITY

 

The Company is authorized to issue 100,000,000 shares of its $0.001 par value common stock and 10,000,000 shares of its $0.001 par value preferred stock.  The Company did not authorize terms and rights of preferred shares as of June 30, 2014.

 

Common stock

 

During the six months ended June 30, 2014, the Company recorded a total of $36,618 to additional paid in capital as a debt discount for the beneficial conversion feature contained in the related party convertible notes.

 

On May 30, 2014, 38,029,399 shares of common stock were returned and cancelled for no consideration. Due to the significance of the  share return, the Company retroactively restated share and per share amounts. 

 

NOTE 5 – RELATED PARTY TRANSACTIONS

 

During the three months ended June 30, 2014 and 2013, the Company recorded executive compensation of $15,039 and $5,000 for its Chief Executive Officer. During the six months ended June 30, 2014 and 2013, the Company recorded executive compensation of $28,639 and $5,000 for its Chief Executive Officer.

 

As of June 30, 2014, the Company loaned $27,675 to Match Trade, Inc. and $23,840 to On The Curb, LLC. Both entities are owned and controlled by an officer, director and shareholder of the Company.  The Company does not expect repayment of the loans and had previously reclassified these notes receivable – related party to an equity account noting  that once the merger with Match Trade, Inc. and On The Curb, LLC is closed, these amounts will get eliminated upon consolidation. In June 2013, the Company postponed the closing of the merger with Match Trade, Inc. and On The Curb, LLC due to the requirement that each company deliver audited financial statements and footnotes. As of the date of this filing, the merger is still pending delivery of audited financial statements. Given the aforementioned circumstances, the amount of elapsed time and uncertainty that the mergers will be completed, the Company fully expensed the receivable balances totaling $51,515 on June 30, 2014.

OVERVIEW AND OUTLOOK

 

Background

 

Reve Technologies was incorporated in the State of Nevada on May 11, 2010. Our stated business objective is to provide tour booking and production services to institutional music programs and semi-professional musicians. Since our inception on May 11, 2010 through December 31, 2013, we generated $12,000 in revenues from that line of business.

 

On February 7, 2013, we entered into an exchange agreement to purchase 100% of the outstanding shares of Match Trade, Inc. in exchange for 30,000 common shares of Reve Technologies, Inc. stock. A material condition of the acquisition was production of audited financial statements by Match Trade, Inc. On June 13, 2013, the Company postponed the closing of the merger with Match Trade, Inc. As of the date of this filing, the merger is pending delivery of audited financial statements.

 

On March 7, 2013, we entered into an exchange agreement to purchase 100% of the outstanding shares of On The Curb, LLC in exchange for 10,000 common shares of Reve Technologies stock. A material condition of the acquisition was production of audited financial statements by On The Curb, LLC. On June 18, 2013, the Company postponed the closing of the merger with On The Curb, LLC. As of the date of this filing, the merger is pending delivery of audited financial statements.

General and administrative costs include costs related to personnel, professional fees, travel and entertainment, public company costs, insurance and other office related costs. The three month increase is due primarily to a $10,000 increase in executive compensation, $15,690 increase in professional fees, including accounting and legal and $3,656 increase in other general costs. The six month increase is due primarily to a $23,639 increase in executive compensation, $27,628 increase in professional fees, including legal and public company related costs and $6,776 increase in other general costs.

"Interest expense" and  "Interest expense - related party" increased due to maintaining higher loan balances in 2014 compared to 2013. "Interest expense related party - debt discount" relates to the amortization of the debt discount resulting from the beneficial conversion feature contained on our convertible promissory notes and fluctuates depending on the amount of debt incurred and the price of our stock on the date the CPNs are dated. As of June 30, 2014, there remains $22,398 of unamortized debt discount. As of June 30, 2014, the Company loaned a total of $51,515 to Match Trade, Inc. and to On The Curb, LLC. As of the date of this filing, the merger is still pending delivery of audited financial statements. Due to the amount of elapsed time and uncertainty that the mergers will be completed, the Company fully expensed the receivable balances.

 

Liquidity and Capital Resources

 

From inception to June 30, 2014, we have incurred an accumulated deficit of $533,851. This loss has been incurred through a combination of professional fees, personnel costs and interest expense supporting our plans to develop our business and brand our services. At June 30, 2014, the Company had current assets of $2,381 compared to current liabilities of $205,759. During the six months ended June 30, 2014, the Company had no revenue and incurred a loss from operations of $79,059. The Company has incurred losses since inception and may not be able to generate sufficient net revenue from its business in the future to achieve or sustain profitability. To finance our operations, we are currently pursuing additional funds through equity or debt financing or a combination thereof. The Company currently has no commitments to obtain any such financing, and there can be no assurance that financing will be available in amounts or on terms acceptable to the Company, if at all.

 

Net cash used by operating activities was $81,835 during the six months ended June 30, 2014 as compared to $24,235 during the six months ended June 30, 2013.

 

Net cash used by investing activities was $1,950 during the six months ended June 30, 2014 as compared to $35,350 during the six months ended June 30, 2013.

 

Net cash provided by financing activities was $86,046 during the six months ended June 30, 2014 as compared to $59,665 during  the six months ended June 30, 2013.

Critical Accounting Estimates

 

The preparation of financial statements and related disclosures in conformity with accounting principles generally accepted in the United States requires us to make judgments, assumptions and estimates that affect the amounts reported. Note 1 of Notes to Financial Statements as filed with our Form 10-K describes the significant accounting policies used in the preparation of the financial statements. Certain of these significant accounting policies are considered to be critical accounting policies, as defined below.

 

A critical accounting policy is defined as one that is both material to the presentation of the Company's financial statements and requires management to make difficult, subjective or complex judgments that could have a material effect on the Company's financial condition and results of operations. Specifically, critical accounting estimates have the following attributes:

We are required to make assumptions about matters that are highly uncertain at the time of the estimate; and

Different estimates we could reasonably have used, or changes in the estimate that are reasonably likely to occur, would have a material effect on the Company's financial condition or results of operations.

 

Estimates and assumptions about future events and their effects cannot be determined with certainty. We base estimates on historical experience and on various other assumptions believed to be applicable and reasonable under the circumstances. These estimates may change as new events occur, as additional information is obtained and as the Company's operating environment changes. These changes have historically been minor and have been included in the financial statements as soon as they became known. Based on a critical assessment of the Company's accounting policies and the underlying judgments and uncertainties affecting the application of those policies, management believes that our financial statements are fairly stated in accordance with accounting principles generally accepted in the United States, and present a meaningful presentation of the Company's financial condition and results of operations.

 

In preparing the Company's financial statements to conform to accounting principles generally accepted in the United States, we make estimates and assumptions that affect the amounts reported in the Company's financial statements and accompanying notes. These estimates include useful lives for fixed assets for depreciation calculations and assumptions for valuing options and warrants. Actual results could differ from these estimates.

 

Provisions for income taxes are based on taxes payable or refundable for the current period and deferred taxes on temporary differences between the amount of taxable income and pretax financial income and between the tax bases of assets and liabilities and their reported amounts in the financial statements. Deferred tax assets and liabilities are included in the financial statements at currently enacted income tax rates applicable to the period in which the deferred tax assets and liabilities are expected to be realized or settled.

When accounting for Uncertainty in Income Taxes, first, the tax position is evaluated to determine the likelihood that it will be sustained upon external examination. If the tax position is deemed “more-likely-than-not” to be sustained, the tax position is then assessed to determine the amount of benefit to recognize in the financial statements.  The amount of the benefit that may be recognized is the largest amount that has a greater than 50 percent likelihood of being realized upon ultimate settlement. As changes in tax laws or rates are enacted, deferred tax assets and liabilities are adjusted through the provision for income taxes. Valuation allowances are established when necessary to reduce deferred tax assets to the amount expected to be realized. The Company’s utilization of U.S. Federal net operating losses will be limited in accordance to Section 381 rules.
