Effective August 8, 2014, Mr. David A. Perdue, one of the members of the Board of Directors of Graphic Packaging Holding Company (the “Company”), resigned from the Board. Mr. Perdue’s resignation did not result from any disagreement with the Company or its management, as he chose to resign due to his continuing participation in the race for the United States Senate seat in Georgia. Mr. Perdue had been on a leave of absence from the Board since May 29, 2014.
