ITEM 3.02. Unregistered Sales of Equity Securities
The registrant, ERF Wireless, Inc. is referred to herein as “we”, “our” or “us”.
From July 29, 2014, through August 11, 2014, we issued 1,020,000 common stock shares pursuant to Convertible Promissory Notes. The Shares were issued at an average of $.052 per share. The issuance of the Shares constitutes 16.2% of our issued and outstanding shares based on 6,292,414 shares issued and outstanding as of July 28, 2014.
