ITEM 8.01 Other Events.
On August 7, 2014, NorthStar Realty Finance Corp. (the “Company”) filed articles of restatement with the Maryland State Department of Assessments and Taxation. The articles of restatement merely restate and consolidate, and do not further amend, the Company’s charter. A copy of the articles of restatement is filed herewith as Exhibit 3.1.
