Item 8.01 Other Events.

On August 6, 2014, Hill International, Inc. (the “Company”) closed the underwritten public offering of 9,546,629 shares of its common stock (the “Shares”), including 1,046,629 Shares issued upon partial exercise of the underwriters’ option to purchase additional Shares.  In connection with such closing, the Company is filing the opinion of Duane Morris LLP as Exhibit 5.1 to this Current Report on Form 8-K.
