Item 2.02.Results of Operations and Financial Condition.

 

On August 5, 2014, XO Group Inc. (the “Company”) issued a press release announcing its financial results as of and for the quarter ended June 30, 2014. A copy of the Company’s press release announcing these financial results is attached as Exhibit 99.1 hereto, and is incorporated by reference into this report. The information included in this Current Report on Form 8-K (including Exhibit 99.1 hereto) that is furnished pursuant to this Item 2.02 shall not be deemed to be “filed” for the purposes of Section 18 of the Securities Exchange Act of 1934, as amended, or otherwise subject to the liabilities of that Section or Sections 11 and 12(a) (2) of the Securities Act of 1933, as amended. The information contained in this Item and in the accompanying Exhibit 99.1 shall not be incorporated by reference into any filing of the Company, whether made before or after the date hereof, regardless of any general incorporation language in such filing, unless expressly incorporated by specific reference into such filing.

 

Item 5.02.Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

Departure of Director

 

On August 1, 2014, Eileen Naughton resigned from the Company’s Board of Directors (the “Board”). The resignation was not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies, or practices.

 

Appointment of New Director

 

On August 1, 2014, the Board filled the vacancy created by the resignation of Eileen Naughton by appointing Barbara Messing to the Board. Ms. Messing will be a Class I director, which means that her term of office will expire at the Company’s 2015 Annual Meeting of Stockholders. Ms. Messing was also named to serve on the Compensation Committee of the Board.

 

Ms. Messing is currently the Chief Marketing Officer for TripAdvisor, a position she has held since February 2011. Prior to joining TripAdvisor, from 2002 to February 2011, Ms. Messing served in a number of leadership roles at Hotwire, including Vice President and General Manager of Travel Ticker, Vice President of Customer Experience, and Director of Product Development. Before joining Hotwire, Ms. Messing was a product director at Keen.com and a segment producer at The Travel Channel. Ms. Messing holds an undergraduate degree from Northwestern University and a JD from Stanford University.

 

Ms. Messing will participate in the current director compensation arrangements applicable to non-employee directors, as disclosed in the Schedule 14A filed by the Company on April 17, 2014.

 

 
 

 

The Company entered into its standard form indemnification agreement with Ms. Messing, which is filed as Exhibit 10.10 to the Company’s Registration Statement on Form S-1/A filed on November 10, 1999.

 

There are no family relationships between Ms. Messing and any director or executive officer of the Company and she has no direct or indirect interest in any transaction required to be disclosed pursuant to Item 404(a) of Regulation S-K. There is no arrangement or understanding between Ms. Messing and other persons pursuant to which Ms. Messing was selected as a director.

 

On August 5, 2014, the Company issued a press release announcing the Board’s appointment of Ms. Messing. A copy of the Company’s press release is attached as Exhibit 99.2 hereto, and is incorporated by reference into this report.
