Item 2.02. Results of Operations and Financial Condition.
On August 5, 2014, Potbelly Corporation issued a press release disclosing earnings and other financial results for its fiscal quarter ended June 29, 2014, and that as previously announced, its management would review these results in a conference call at 5:00 p.m. E.T. on August 5, 2014. The full text of the press release is furnished hereto as Exhibit 99.1.

Item 8.01. Other Events.
On August 5, 2014, Potbelly Corporation (the “Company”) issued a press release announcing that its Board of Directors had authorized a share repurchase program of up to $35.0 million of the Company’s common stock. With this authorization, repurchases may be made at management’s discretion from time to time on the open market.
