Item 8.01 Other Events.
On August 1, 2014, The Phoenix Companies, Inc. (the “Company”) issued a news release announcing that it has entered into an agreement with the U.S. Securities and Exchange Commission (“SEC”) to amend a March 21, 2014 SEC administrative order regarding delayed and certain future SEC filings for both the Company and its subsidiary, PHL Variable Insurance Company. The news release is furnished as Exhibit 99.1 hereto and is incorporated herein by reference.
