Item 2.02. Results of Operations and Financial Condition.
On July 28, 2014, SB Financial Group, Inc. (the “Company”) hosted a conference call and webcast to discuss its financial results for the second quarter ended June 30, 2014. A copy of the transcript for the conference call and webcast is furnished as Exhibit 99.1 and is incorporated herein by reference.

Item 7.01. Regulation FD Disclosure.
On July 29, 2014, SB Financial Group, Inc. issued a press release announcing that its Board of Directors had declared a quarterly shareholder dividend of $0.04 per share. The dividend is payable on August 22, 2014 to all shareholders of record as of August 8, 2014.
