Item 7.01. Regulation FD Disclosure.

On July 29, 2014, the Forbearance Agreement (the “Forbearance Agreement”) entered into by and among Anchor Hocking, LLC, an indirect wholly-owned subsidiary of EveryWare Global, Inc. (the “Company”), Oneida Ltd., an indirect wholly-owned subsidiary of the Company, and Universal Tabletop, Inc., a wholly-owned subsidiary of the Company, certain of the Company’s subsidiaries party thereto, Deutsche Bank AG New York Branch, as Administrative Agent, and the requisite lenders party thereto, relating to that certain Term Loan Agreement, dated as of May 21, 2013 (the “Term Loan Agreement”), expired at 5:00 p.m. Eastern Time.

As a result of the expiration of the Forbearance Agreement, the lenders under the Term Loan Agreement (the “Term Loan Lenders”) are no longer prevented from exercising remedies available to them as a result of the Company’s existing events of default under the Term Loan Agreement. Although the Term Loan Lenders have not extended the Forbearance Agreement, the Company continues to be in active negotiations with its lenders regarding amendments to its debt agreements and with funds affiliated with Monomoy Capital Partners regarding the terms of an equity investment.
