On July 23, 2014, Jarden Corporation’s (the “Company”) Board of Directors approved the third amended and restated bylaws of the Company (the “Amended and Restated Bylaws”) primarily in order to effectuate the declassification of the Company’s Board of Directors as approved by the Company’s stockholders at the Company’s annual meeting of stockholders on June 12, 2014. The Amended and Restated Bylaws became effective immediately upon such Board approval.
A copy of the Amended and Restated Bylaws is filed as Exhibit 3.1 to this Current Report on Form 8-K and incorporated herein by reference.
