On July 24, 2014, Investors Bancorp, Inc. (the “Company”) issued a press release reporting its financial results for the second quarter ended June 30, 2014. A copy of the press release is attached as Exhibit 99.1 to this report and is being furnished to the SEC and shall not be deemed “filed” for any purpose. Included in the attached press release, book value per common share for December 31, 2013 has been updated from the press release issued on July 24, 2014.

On July 24, 2014, the Company announced that its Board of Directors declared a quarterly cash dividend of $0.04 per share to stockholders of record as of August 4, 2014, payable on August 18, 2014. This announcement was included as part of the press release announcing financial results for the quarter ended June 30, 2014 issued by the Company on July 24, 2014. A copy of the press release is attached as Exhibit 99.1 to this report and is being furnished to the SEC and shall not be deemed “filed” for any purpose.
