EXPLANATORY NOTE
This Amendment No. 1 on Form 8-K/A is being filed by Experience Art and Design, Inc. (the "Registrant") to amend and restate the Company's Current Report on Form 8-K ("Original Report") filed with the Securities and Exchange Commission on July 25, 2014. The 8-K/A is being filed to supplement the information regarding Mr. Thomas Keith, a director of the Registrant who resigned on July 3, 2014, but was omitted from Item 5.02 of the Original Report.
The 8-K/A does not amend, update or change any items or disclosure in the Original Report other than as referenced above and does not reflect events that occurred after the date of the Original Report. The 8-K/A sets forth the Original Report in its entirety and replaces the Original Report.
Item 5.02 Departure of Directors or Certain Officers, Election of Directors,
Appointment of Certain Officers; Compensatory Arrangements of Certain Officers
On July 3, 2014, Mr. Gary Arford, Mr. Michael Balter, Mr. Thomas Keith and Mr. Roy Rose resigned from the board of directors of Experience Art and Design, Inc. (the "Registrant"). The Registrant also accepted the resignation of Mr. Roy Rose as Chief Executive Officer ("CEO") and Mr. Kenneth Kepp as Chief Financial Officer ("CFO"). The resignations of Mr. Gary Arford, Mr. Michael Balter, Mr. Thomas Keith, Mr. Kenneth Kepp and Mr. Roy Rose were not the result of any disagreement with the Registrant on any matter related to the Registrant's operations, policies or practices.
The Registrant appointed the remaining Director, Michael D. Noonan, as CEO and CFO.
