PRELIMINARY NOTE

 

This Form 10-K/A, Amendment No. 1 is filed by WindStream Technologies, Inc. (the “Company”) to correct an error of omission to Item 12 of the Form 10-K filed by the Company on April 11, 2014. In particular, Vanguard Financial Trust, which beneficially owns approximately 12% of the outstanding shares of common stock of the Company, was inadvertently omitted from the chart of shareholders in Item 12, although such shares were included in the total number of outstanding shares disclosures in the Form 10-K and Vanguard filed its Schedule 13D and Form 4 prior to the filing of the Company’s Form 10-K. In addition, the unregistered sales of securities to Vanguard were included in sales disclosed in Current Reports on Form 8-K and Quarterly Reports on Form 10-Q previously filed by the Company. The corrected Item 12 including the additional line item is filed herewith in its entirety.
