Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 22, 2014, James H. Clayton advised the Federal Home Loan Bank of Dallas (the "Bank") that he would not run for re-election to the Bank’s Board of Directors due to his desire to fulfill some personal commitments to his employer, Planters Bank and Trust Company, before his retirement. Mr. Clayton has served as a member director representing the state of Mississippi since February 2005. Since January 2013, Mr. Clayton has served as Chairman of the Bank’s Board of Directors. His term as a director of the Bank will expire on December 31, 2014. Mr. Clayton will continue to serve as Chairman of the Board of Directors until his term expires.
