Item 1.02. Termination of a Material Definitive Agreement.
On July 16, 2014, Fuse Medical, LLC ("Fuse"), a wholly-owned subsidiary of Fuse Medical, Inc. (the "Company") terminated the Distribution Agreement (the "Distribution Agreement") that it had with Flower Orthopedics Corporation ("Orthopedics"). The termination will be effective on July 16, 2014.
The Agreement had appointed Fuse as a distributor of Orthopedics' products. The Agreement was terminated pursuant to the terms of the Distribution Agreement by Fuse. There were no early termination penalties as a result of the termination.
