Item 2.02. Results of Operations and Financial Condition
On July 23, 2014, Palmetto Bancshares, Inc. issued a news release announcing its results of operations for the three and six months ended June 30, 2014. A copy of the news release is attached hereto as Exhibit 99.1.

On July 23, 2014, Palmetto Bancshares, Inc. mailed a letter to shareholders announcing the declaration of a quarterly cash dividend of $0.05 per share. A copy of the letter is attached hereto as Exhibit 99.2.

Item 8.01. Other Events
On July 23, 2014, Palmetto Bancshares, Inc. issued a news release announcing the declaration of a quarterly cash dividend of $0.05 per common share. The cash dividend is payable on August 18, 2014 to shareholders of record as of the close of business on August 4, 2014. A copy of the news release is attached hereto as Exhibit 99.3.
