Item 2.02.   Results of Operations and Financial Condition.

On July 23, 2014, Orchids Paper Products Company (the “Registrant”) reported its financial results for the quarter ended June 30, 2014. A copy of the Registrant’s press release containing this information is attached as Exhibit 99.1 to this report on Form 8-K and is incorporated herein by reference.

Item 8.01.   Other Events.

On July 23, 2014, the Registrant announced that the Board of Directors (the “Board”) authorized a quarterly cash dividend of $0.35 per outstanding share of the Registrant’s common stock.  The Registrant expects to pay this dividend on August 18, 2014 to stockholders of record at the close of business on August 4, 2014. A copy of the press release issued by the Registrant on July 23, 2014, is filed herewith as Exhibit 99.1 and is incorporated in this Item 8.01 by reference.

As previously announced, the Registrant will hold a teleconference to discuss first quarter results at 10:00 a.m. (ET) on Thursday, July 24, 2014.
