On July 21, 2014, FBR & Co. (the “Company”) issued a press release announcing that it intends to commence a modified “Dutch auction” tender offer for up to one million of its outstanding shares of common stock at a price of not less than $28 per share and not more than $29 per share in cash, without interest. A copy of the press release is attached to this Current Report on Form 8-K as Exhibit 99.1 and is incorporated herein by reference.
