Item 8.01.  Other Events.

On 17 July 2014, the Board of Directors (the “Board”) of Air Products and Chemicals, Inc. elected Chad C. Deaton as Lead Director to serve a three year term. Mr. Deaton succeeds Evert Henkes, who has served as the Company’s Presiding Director since January 2012. The Lead Director’s responsibilities are presiding at executive sessions of the independent directors and over any other meetings of the Board or parts thereof when the Chairman of the Board is not present, reporting independent directors’ feedback to the Chairman, and determining the agenda for executive sessions of independent directors. The Lead Director also has principal, but not exclusive, authority to convene a meeting of independent directors.
