Item 2.02 Results of Operations and Financial Condition.

On July 17, 2014, Skyworks Solutions, Inc. (the “Registrant”), issued a press release in which it announced financial results for the three- and nine-month periods ended June 27, 2014. A copy of the press release is attached hereto as Exhibit 99.1.
Item 8.01 Other Events.
On July 17, 2014, the Registrant announced that its board of directors had declared a cash dividend on the Registrant’s common stock of $0.11 per share, payable on August 21, 2014, to its stockholders of record as of the close of business on August 7, 2014. A copy of the press release announcing the dividend is attached hereto as Exhibit 99.1.
