On July 11, 2014, Lorillard, Inc. (the “Company”) issued a press release confirming that, among other matters, it is engaged in discussions with Reynolds American Inc. regarding the potential acquisition of the Company and noting that no agreement has been reached and there can be no assurances that any transactions will result. A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K.
