ITEM 2.02. Results of Operations and Financial Condition
Citizens & Northern Corporation announced unaudited, consolidated financial results for the three-month and six-month periods ended June 30, 2014. On July 11, 2014, Citizens & Northern Corporation issued a press release titled “C&N Announces Second Quarter 2014 Unaudited Financial Results,” a copy of which is furnished as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference. Citizens & Northern Corporation’s “Quarterly Report,” a report that includes unaudited financial information, will be mailed to shareholders on or about July 18, 2014.
