Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 8, 2014, Klara A. Dickinson-Eason notified Hyperion Therapeutics, Inc. (the “Company”) of her intent to resign as our Senior Vice President, Chief Regulatory Officer and Corporate Quality, effective immediately, in order to pursue other opportunities. Mrs. Dickinson-Eason and the Company are currently negotiating a General Release and Post-Separation Consulting Agreement (the “Separation Agreement”). It is anticipated that following her departure, Mrs. Dickinson-Eason will consult with the Company on various regulatory and compliance matters.
