Item 7.01. Regulation FD Disclosure.

On July 6, 2014, Expedia, Inc. (“Expedia”) issued a press release announcing entry into an agreement with Wotif.com Holdings Limited (“Wotif”), an Australian-based online travel company, pursuant to which Expedia, through its wholly owned subsidiary Emu Australia Investments Pty Ltd, agreed to acquire all of the issued and outstanding common stock of Wotif for aggregate cash consideration of A$703 million (equivalent to US$658 million based on July 4, 2014 exchange rates).

The press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
