Item 7.01. Regulation FD Disclosure.
On July 1, 2014, Altra Industrial Motion Corp. (the “Company”) issued a press release announcing the closing of the acquisition of Guardian Ind., Inc., an Indiana corporation (“Guardian”). The press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K. The Company acquired all of the issued and outstanding shares of stock of Guardian from its shareholders for $15,250,000, subject to certain adjustments.
