Item 1.02.  Termination of a Material Definitive Agreement


On May1, 2014, Vista and Parcel 188 Investors (Parcel 188) entered into a Purchase and Sale Agreement (the Sale Agreement) pursuant to which Vista wouldsell 1.29 acres of the 26.9 acre industrial site it owns at 1323 FulghumRd. in Hutchins, Texas, to Parcel 188.


The aggregate consideration to be paid by Parcel 188 to Vista pursuant to the Sale Agreement was approximately $100,000 in cash, or roughly $1.78 per square foot.  The 1.29 acres to be sold to Parcel 188 is currently undeveloped land.


On June 24, 2014 the Company was informed that Parcel 188 was terminating the contract due to issues Parcel 188 was having with a proposed tenant for the land.  This termination was done according to the contract terms and the parties have no further obligation to each other.
