Election of Director
On June 23, 2014 the Board of Directors of Annie’s, Inc. (the “Company”) appointed Robert W. Black to serve as a director of the Company. Mr. Black will serve as Chairman of the Annie’s Nominating/Corporate Governance Committee. There are no arrangements or understandings between Mr. Black and any other persons pursuant to which he was selected as a director and he has no direct or indirect material interest in any transaction required to be disclosed pursuant to Item 404(a) of Regulation S-K.
A press release announcing the appointment of Mr. Black was issued on June 26, 2014, a copy of which is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
