On June 23, 2014, AmSurg Corp. (the “Company”) issued a press release announcing concurrent public offerings of 8,500,000 shares of its common stock and 1,250,000 shares of its Series A-1 Mandatory Convertible Preferred Stock, each in a separate registered public offering, subject to market and other conditions. A copy of the press release is attached hereto as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
In addition, the Company has updated certain risk factors it previously disclosed in its periodic reports as filed with the Securities and Exchange Commission from time to time. A copy of the updated risk factors is attached hereto as Exhibit 99.2 to this Current Report on Form 8-K and is incorporated herein by reference.
