Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
Effective as of June 19, 2014, Ricardo Lopez Valencia, a director of Ambassadors Group, Inc. (the “Company”), resigned as a member of the Board of Directors, Compensation Committee and Nominating Committee of the Company. Mr. Valencia’s resignation did not relate to any disagreement with the Company.
On, and effective as of June 23, 2014, pursuant to the Company’s Bylaws and a resolution adopted by the Board of Directors, the number of authorized directors of the Company has been reduced from seven (7) to six (6).
