Item 8.01 Other Events.
On June 16, 2014, SanDisk Corporation (“SanDisk”) entered into an Agreement and Plan of Merger (the “Merger Agreement”) by and among SanDisk, Flight Merger Sub, Inc., a Delaware corporation and a wholly owned subsidiary of SanDisk, and Fusion-io, Inc., a Delaware corporation (“Fusion-io”), pursuant to which SanDisk will acquire Fusion-io in a transaction valued at approximately $1.1 billion, net of cash assumed. On June 16, 2014, SanDisk and Fusion-io issued a joint press release announcing the execution of the Merger Agreement. The full text of the joint press release is attached hereto as Exhibit 99.1 and incorporated in its entirety herein by reference.
