Item 7.01 Regulation FD Disclosure
On June 11, 2014, Sanchez Energy Corporation (the “Company”) furnished certain information with respect to the pending acquisitions of certain assets in Dimmit, LaSalle and Webb Counties in Texas from SWEPI LP and Shell Gulf of Mexico Inc. for approximately $639 million in cash, subject to customary adjustments, as Exhibit 99.4 to its Current Report on Form 8-K. Exhibit 99.1 to this Report on Form 8-K provides an update to, and supersedes, the table and related footnotes regarding combined net production of oil, NGL and natural gas and certain price and cost information, and amends the Company’s Current Report on Form 8-K filed June 11, 2014 with respect thereto.
In accordance with General Instruction B.2 of Form 8-K, the information in this Item shall not be deemed “filed” for the purpose of Section 18 of the Securities Exchange Act of 1934, as amended, nor shall it be deemed incorporated by reference in any filing.
