Item 8.01 Other Events.

The 2014 Annual Meeting of Stockholders (the “Annual Meeting”) of TICC Capital Corp. (the “Company”) that was scheduled to take place on Wednesday, June 11, 2014 has been postponed to allow more time for the solicitation of additional votes in order to ensure that a quorum is present to permit the Annual Meeting to be properly convened. The Company’s Annual Meeting will be held on Thursday, June 26, 2014 at 10:00 a.m., Eastern Time.
