Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers; Compensatory Arrangements of Certain Officers

On June 9, 2014, Mr. Derace Schaffer and Mr. James Liang resigned from their respective positions as directors serving on the Board of Directors (the “Board”) of the Lenco Mobile, Inc. (the “Company”). Mr. Schaffer and Mr. Liang’s resignations were not due to any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
