Item 5.02 Departure of Director or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangement of Certain Officers.
(b)(c) On June 10, 2014 Patterson Companies, Inc. announced that R. Stephen Armstrong, executive vice president and Chief Financial Officer, will step down from his current position as of October 31, 2014. The Board of Directors named Ann B. Gugino, currently the vice president of strategy and planning, as vice president and Chief Financial Officer, to be effective November 1, 2014. Mr. Armstrong will be a senior advisor to the Company through fiscal 2016 to support a smooth transition in responsibilities. A copy of the press release issued by the Company on June 10, 2014 announcing these changes in positions for Mr. Armstrong and the appointment of Mrs. Gugino as Mr. Armstrong’s successor is furnished as Exhibit 99 to this Current Report on Form 8-K and is incorporated by reference herein.
