Item 8.01 Other Events.
On June 5, 2014, SunEdison, Inc., a Delaware corporation, issued a press release announcing that it priced $500 million aggregate principal amount of convertible senior notes due 2020. A copy of this press release is filed herewith as Exhibit 99.1 and incorporated herein by reference.
The notes, and any shares of the Company's common stock issuable upon conversion of the notes, have not been registered under the Securities Act of 1933, as amended, and may not be offered in the United States absent registration or an applicable exemption from registration requirements.
