Item 8.01. Other Events.
On June 5, 2014, Panera Bread Company (the "Company") issued a press release announcing the authorization of a three-year, $600 million share repurchase program and the termination of the Company's existing repurchase program, which had been scheduled to expire on August 23, 2015. The press release is attached to this Current Report on Form 8-K as Exhibit 99.1.
