Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers
On May 27, 2014, Luca Maestri, a member of the board of directors of Principal Financial Group, Inc. (the “Company”), informed the Company of his decision to not stand for re-election at the Company’s next annual meeting of shareholders, scheduled for May 19, 2015. Mr. Maestri’s decision was based upon his other professional responsibilities and not a disagreement with the Company on any matter relating to its operations, policies or practices.
