Item 5.02 – Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Effective June 2, 2014, Matthew Bauer, Vice President, Power Finance, Exelon Power, will be named Baltimore Gas and Electric Company’s (BGE) Vice President and Controller. Mr. Bauer succeeds David M. Vahos, who was recently elected as BGE’s interim Treasurer and Chief Financial Officer. Mr. Bauer, 37, has served as Vice President, Power Finance, Exelon Power since 2012. Previously, Mr. Bauer served as the Director of Retail Financial Planning and Analysis for Constellation Energy Group, Inc. (CEG) in 2012, Executive Director of Corporate Development for CEG from 2010 to 2012, and Director of Corporate Planning for CEG from 2009 to 2010.
