Item 5.07     Submission of Matters to a Vote of Security Holders.

On May 22, 2014, Ignite Restaurant Group, Inc. (the “Company”) held its annual meeting of stockholders. At the annual meeting, the Company’s stockholders (i) elected the two directors nominated by the Board of Directors and listed below for a two-year term, and (ii) ratified the appointment of PricewaterhouseCoopers LLP as the Company’s independent registered public accountants for fiscal year 2014.  The Company’s independent inspector of elections reported the vote of the stockholders as follows:

Proposal 1 — Election of directors

Proposal 2 — Ratification of the appointment of PricewaterhouseCoopers LLP as the independent registered public accounting firm for fiscal year 2014.
