On May 15, 2014, Paul Healy submitted his resignation as a member of the Board of Directors of FlexShopper, Inc. (the “Company”). Mr. Healy did not indicate that his resignation was a result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
