The following actions were taken at the Annual Meeting of Stockholders of Veracyte, Inc., held on May 19, 2014:

1.                                      The following Class I Directors were elected to serve until the 2017 Annual Meeting or until their successors are duly elected and qualified:

There were 677,335 broker non-votes for this proposal.

2.                                      The ratification of the appointment of PricewaterhouseCoopers LLP as the Company’s independent registered public accounting firm for the 2014 fiscal year was approved.
