The Company held its Annual Meeting of Stockholders on May 15, 2014 (the "2014 Annual Meeting") in New York, New York. Stockholders representing 46,719,474 shares of common stock, or 87.6% of the shares of common stock outstanding as of the March 31, 2014 record date were present in person or were represented at the meeting by proxy.
