National Holdings Corporation (“National,” we” or “our”) is furnishing this Current Report on Form 8-K in connection with the disclosure of information during a conference call on May 13, 2014 discussing our financial results for the fiscal second quarter ended March 31, 2014. The transcript of the conference call is included as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
