On May 14, 2014, Crumbs Bake Shop, Inc. (the “Company”) received notice from each of S. Scott Fischer and Mark R. Liebel that they have resigned from the Company’s Board of Directors. These notifications did not indicate that the resignations were due to any disagreement with the Company on any matter relating to its operations, policies or practices. As a result of their resignations, Messrs. Fischer and Liebel will not be standing for re-election at the 2014 annual meeting of stockholders.
