Item 5.02(d) Election of Directors.

This Current Report on Form 8-K/A amends certain information included in a Current Report on Form 8-K filed by Union Pacific Corporation (the Company) on March 20, 2014, regarding the acceptance by David B. Dillon of an offer to serve on the Board of Directors of the Company (the Board) on March 20, 2014. The Board did not appoint Mr. Dillon to serve on any of its committees at the time of his election. At a regular meeting held on May 15, 2014, the Board appointed Mr. Dillon to serve on the Audit Committee and the Compensation and Benefits Committee.
